These Website Terms of Use ("Terms") govern your access to and use of quickshelf.online (the "Website"), operated by Uddipta Tech Solutions (Udyam-registered Micro Enterprise UDYAM-JH-12-0011570, "we", "us", "our").
1. Acceptance
By accessing the Website, submitting a form on it, or otherwise using any of its features, you agree to these Terms. If you do not agree, please do not use the Website.
2. Beta status disclosure
Quickshelf is in private beta. The software platform (billing, inventory, staff, loyalty, analytics) is provided to selected stores at no cost for an initial 6-month period. The ESL hardware and the broader hardware lineup are still in research and development and are not commercially shipped.
Information on the Website about features, deployment, pricing, support, or timelines is forward-looking and may change. Nothing on the Website by itself constitutes a binding offer, contract, warranty, or service-level commitment. Any binding terms between you and us will be set out in a separate beta agreement (or, after launch, in our commercial service agreement).
3. Use of the website
You agree to use the Website only for lawful purposes and not to:
- Submit false, misleading, or fraudulent information through any form.
- Attempt to access, scrape, or interfere with the Website’s infrastructure or other users’ data.
- Send automated traffic, malware, or any content that violates applicable law.
- Reverse engineer, decompile, or copy the Website beyond what fair use allows.
- Use the Website to harass, defame, or impersonate any person.
We may, at our discretion, suspend or block access to anyone violating these Terms.
4. Beta program & free 6 months
Submitting our application form is an application to the Quickshelf private beta. Submission does not by itself enrol you in the beta or guarantee a slot. We review applications and accept stores at our discretion based on fit and capacity.
If your store is accepted, we will provision the software platform free of charge for an initial period of 6 months from your activation date. During that period, all software modules currently built will be unlocked at no cost, and we will provide reasonable onboarding and support.
After the initial 6-month period, we will most likely extend the free period for active beta users, but this extension is at our discretion and is not guaranteed. We will give you advance notice (at least 30 days) before the free period ends, and you will not be auto-enrolled into a paid plan without your express consent.
The beta software is provided "as is". Features may change, be added, or be removed at any time. We may also pause or end the beta program with reasonable notice. None of the marketing material on the Website constitutes a service-level agreement.
You agree (a) to provide accurate information in the application, (b) to provide honest feedback during the beta where reasonable, and (c) not to share confidential pre-release builds, screenshots, or roadmaps publicly without our consent.
5. ESL hardware early access
Quickshelf is developing Electronic Shelf Label (ESL) hardware as part of the broader product. Beta customers will receive early access and a free trial unit when the hardware is ready, subject to availability and any reasonable conditions we set at the time of trial (such as returning the unit in working condition).
Specifications, ship dates, and trial terms for the ESL hardware are forward-looking and may change. The free trial does not include any warranty or commitment to a specific feature set; final hardware terms will be set out in a separate hardware agreement at the time of trial or sale.
6. Intellectual property
The Website, including its design, code, copy, logos, photographs, and any other content, is owned by Uddipta Tech Solutions or its licensors and is protected by Indian and international copyright, trademark, and other laws. You may view and share the Website for non-commercial purposes; you may not reproduce, redistribute, or create derivative works from it without prior written permission.
"Quickshelf" and "Uddipta Tech Solutions" are our brand names. You may not use them in a way that suggests endorsement or partnership without permission.
7. Third-party links
The Website may include images served by third parties (e.g., Unsplash) and links to third-party services. We are not responsible for the content, privacy practices, or availability of those third parties.
8. Disclaimer
The Website is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of forward-looking statements, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free from harmful components.
9. Limitation of liability
To the maximum extent permitted by law, in no event shall Uddipta Tech Solutions, its founders, employees, or contractors be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Website — even if we have been advised of the possibility of such damages.
Because no payment passes between you and us through this Website, our total liability to you in connection with the Website shall in no event exceed INR 1,000 (one thousand Indian rupees).
10. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the current version. Continued use of the Website after a change means you accept the updated Terms.
11. Governing law & jurisdiction
These Terms are governed by the laws of India. Subject to the dispute-resolution section below, the courts located in Jharkhand, India shall have exclusive jurisdiction over any matter arising out of or relating to these Terms or the Website.
12. Dispute resolution
If a dispute arises, the parties shall first try to resolve it amicably through good-faith negotiation for 30 days. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in Jharkhand, India. The arbitration shall be conducted in English.
